- Number of revision rounds
- Payment terms
- Client responsibilities

Work that is not included in the agreed scope will be treated as additional work and may require a separate quote or additional payment.
Scope Changes
If you request new features, extra pages, additional design changes, new integrations, or changes that were not included in the original agreement, these may be charged separately.
We will not start additional billable work without informing you first and receiving your approval.
4. Client Responsibilities
To complete your project successfully, you agree to cooperate with us and provide the required information, materials, feedback, and access on time.
Your responsibilities may include:
- Providing accurate project requirements
- Providing website content, images, logos, branding, and other assets
- Giving timely feedback and approvals
- Providing access to hosting, domain, WordPress, CMS, third-party tools, or other required platforms
- Ensuring that all content and materials provided by you are legally owned by you or properly licensed
- Reviewing work carefully before approval
- Making payments on time
- Ensuring that your website, business, content, and use of our services comply with applicable laws
Delays in providing content, access, feedback, or approvals may delay the project timeline.
Once you approve a design, feature, page, or project stage, major changes after approval may be treated as additional work.
5. Content, Materials, and Accuracy
You are responsible for providing accurate, complete, and lawful content for your project.
This may include:
- Text content
- Images
- Videos
- Logos
- Product information
- Service descriptions
- Legal pages
- Business details
- Contact information
- Pricing information
- Customer data or project data
We are not responsible for errors, legal issues, copyright claims, or regulatory problems caused by content, materials, or information provided by you.
You confirm that you have the legal right to use any content, images, trademarks, logos, files, or data that you provide to us.
6. Payments and Invoices
Payment terms will be confirmed in your proposal, invoice, or project agreement.
Unless otherwise agreed, we may require an upfront deposit before starting work. The remaining balance must be paid before final delivery, website launch, transfer of files, or handover of login credentials.
Standard Payment Structure
For many projects, the payment structure may be:
- Deposit payment before work begins
- Final payment before launch, delivery, or handover
For larger projects, milestone-based payments may be used.
Late Payments
If an invoice is overdue, we reserve the right to:
- Pause work on the project
- Delay delivery or launch
- Withhold files, source code, login credentials, or final deliverables
- Charge late payment fees where applicable
- Terminate the project if payment remains unpaid for an extended period
All deposits are generally non-refundable because they reserve project time and cover planning, research, setup, and initial work.

7. Revisions and Change Requests
The number of included revisions will be stated in your project proposal, invoice, or agreement.
What Counts as a Revision
A revision means a reasonable adjustment to work already created within the agreed scope, such as:

- Font changes
- Layout adjustments
- Image replacement
- Minor design refinements
Revision requests should be provided clearly and in one consolidated message where possible.
What Counts as a Change Request
A change request means a request that adds new work or changes previously approved work. This may include:
- Adding new pages
- Adding new features
- Changing the project direction
- Redesigning approved sections
- Adding new integrations
- Changing functionality after approval
- Requesting work outside the original agreement
Change requests may require extra payment and may extend the project timeline.
8. Project Timelines and Delays
Project timelines are estimates unless a fixed deadline has been agreed in writing.
A project timeline usually starts when:
- The required deposit or payment has been received
- All required content, information, and access have been provided
- The project scope has been confirmed
If you delay providing content, feedback, approvals, or access, the project timeline may be extended.
We are not responsible for delays caused by:
- Late client feedback
- Missing content or assets
- Missing hosting, domain, or platform access
- Third-party service outages
- Plugin, theme, API, or hosting issues
- Payment delays
- Changes requested during the project
If we expect a delay from our side, we will inform you and provide an updated timeline where possible.
9. Website Launch and Handover
Final launch, file delivery, or project handover will take place after all outstanding payments have been received.
Depending on the project, handover may include:
- Website access
- Admin login details
- Source files
- Documentation
- Hosting or CMS information
- Basic usage instructions
- Final project files or exported assets
We may withhold final delivery, launch, or transfer of ownership until all payments are completed.
After handover, you are responsible for keeping your website, hosting, plugins, themes, accounts, passwords, and third-party tools secure and up to date unless you have an active maintenance agreement with us.
10. Post-Launch Support and Warranty
Unless otherwise stated in your project agreement, we may provide a limited post-launch support period for technical issues directly related to the agreed project scope.
This support is intended to fix genuine bugs, not to add new features or make new design changes.
Covered Issues May Include
- Features not working as agreed in the original scope
- Technical bugs caused by our implementation
- Minor launch-related issues
Not Covered
Post-launch support does not include:
- New features or extra work
- Content updates
- Design changes
- Issues caused by client edits
- Issues caused by third-party plugin or theme updates
- Hosting or server problems
- Malware or security issues caused by poor maintenance
- Problems caused by sharing login details with others
- Issues caused by third-party platforms, APIs, or services
Ongoing support, updates, security monitoring, and maintenance may be available through a separate maintenance plan.
11. Intellectual Property Rights
Ownership After Full Payment
After full payment has been received, ownership of the final approved custom deliverables created specifically for your project will transfer to you, unless otherwise agreed.
This may include final website design, custom code, page layouts, and project-specific assets created by us.
Ownership Before Full Payment
Until full payment is received, all work, designs, code, concepts, files, and deliverables remain the property of Berankify LTD.
We reserve the right to withhold files, access, or delivery if payment is outstanding.
Third-Party Tools and Licenses
Your project may use third-party tools such as:
- WordPress themes
- Plugins
- Fonts
- Stock images
- Icons
- APIs
- Hosting services
- AI tools
- Automation platforms
Third-party tools are subject to their own license terms, renewal fees, and privacy policies. You are responsible for ongoing third-party costs unless otherwise agreed.
Reusable Methods and Frameworks
We may reuse general knowledge, methods, frameworks, code structures, design approaches, automation logic, and development techniques that are not unique or confidential to your project.
12. Portfolio and Marketing Rights
Unless we have signed a separate non-disclosure agreement with you, you allow us to display completed work in our portfolio, website, case studies, social media, marketing materials, and proposals.
This may include:
- Your website name
- Screenshots of the completed work
- A short description of the project
- General results or features delivered
If your project is confidential, you must inform us before the project begins so that a separate confidentiality agreement can be discussed.
13. Confidentiality
Both parties agree to keep confidential information private.
Confidential information may include:
- Business strategies
- Login credentials
- Customer data
- Project details
- Pricing
- Internal systems
- Technical information
- Non-public business information
We will not share your confidential information with third parties except where necessary to deliver the project, comply with the law, or use trusted service providers such as hosting, storage, project management, analytics, payment, or automation platforms.
You also agree not to share our confidential methods, pricing structures, project processes, source files, frameworks, or internal business information with third parties without permission.
14. AI Tools, Automation, and Third-Party Platforms
Some projects may involve AI tools, chatbots, automation workflows, or third-party integrations.
You understand that AI and automation systems may depend on third-party platforms, APIs, models, servers, or tools that are outside our direct control.
15. Limitation of Liability
To the maximum extent permitted by law, Berankify LTD will not be liable for indirect, incidental, special, or consequential damages arising from your use of our website, services, or deliverables.
This includes, but is not limited to:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of data
- Website downtime
- Search engine ranking changes
- Advertising account issues
- Third-party platform issues
- Security breaches caused by poor maintenance or client actions
- Problems caused by content or materials provided by you
- Issues caused by third-party tools, hosting, plugins, APIs, or services
Our total liability for any claim related to a project will not exceed the total amount paid by you for that specific project.
16. Governing Law and Disputes
These Terms shall be governed by and interpreted in accordance with the laws applicable to Berankify LTD.
If a dispute arises, both parties agree to first try to resolve the issue through good-faith communication.
If the dispute cannot be resolved informally, it may be handled through the appropriate legal process or courts with jurisdiction over Berankify LTD, unless otherwise required by applicable law.
